crux :- in audit we are concerned with accounting of transactions and events which are as per management policies and decisions. We focus on accounting aspects, we dont go and challenge or evaluate whether management policies their decisions and way of their running a business is appropriate. we dont question decision making. 
but sometimes we are suppose to evaluate decision making, when required by law for example 143 (1) and caro clauses ask us to evaluate whether decisions are prejudicial to interest of company
