Material subsidy 
 For determining whether independent director should be at the BOD of subsidiary,  whether subsidiary only in India is considered or outside India as well. 
Bhaskar has only inside India and sir in his lecture I  YouTube also said inside India but mtp may 21 has said whether incorporated in India or not .

Please note in notes also it should be incorporated in or outside india, its a printing mistake from our side
