this question is now not relevant after company act 2013 got applicable. company act 1956 spoke about such cases, which is now not applicable.
from company act 2013 point of view Mr R is not correct, company can adjourn and appoint some one else, if the meeting gets over without any decision then Mr R will get reappointed
