Ok i didnt understand query properly, still i am answering as per what i understand. Comment back if you have further any query.
If resolution is proposed to appoint new auditor or to remove existing auditor at AGM (basically change of auditor) then special notice will be required and complete 5 step process of sec 140(4) will be applicable, which is for removal at AGM. This is true for any AGM 2nd / 3rd / 4th 5th
Now if you propose to confirm appointment made earlier (that is ratification) then  it is not change in auditor, so sec 140(4) , 5 step process is not applicable. If ratification resolution is successful then finr if not then BOD will appoint auditor.

So basically, aaplicability of special notice and 5 step process depends on what we have proposed at AGM. I hope you got the point.
