does company (rotation not applicable) needs to pass special resolution to remove Mr. x, even though he is ritiring now ? and if yes, then subsequently to appoint another person as an auditor, still company needs to pass special resolution?

Special resolution is required only in 2 circumstances

  1. Remove auditor before AGM
  2. To decide in advance what will happen if there is no appointment at AGM

Its not required for any other appointments or removal.

Company can decide in AGM conducted on 20th Aug 2020 with special resolution that if there is no annual appointment in next AGM we dont want retiring auditor to continue or they may say that in such case we would request because of virtue of this special resolution “Firm ABC” be appointed as auditor till conclusion of next AGM
